Orders and Pricing

General

These Terms of Sale (“Terms”) govern all transactions, including sales of products and services, between Posh Textiles (“Posh Textiles,” “we,” “us,” or “our”) and the customer (“Customer,” “you,” or “your”). By placing an order, requesting samples, or purchasing products, you agree to these Terms. These Terms supersede all prior agreements, representations, or understandings unless expressly agreed in writing by an authorized representative of Posh Textiles. We reserve the right to modify these Terms at any time, with changes effective upon posting to www.poshtextiles.com.

Ordering and Pricing

To order products, obtain stock or price, request samples or inquire about the status of your order, please call 212-629-7241 or contact your sales representative, or email [email protected]. Orders are subject to acceptance by Posh Textiles. We reserve the right to refuse or cancel orders for reasons including, but not limited to, product availability, pricing errors, or failure to meet credit requirements.

Prices are quoted in U.S. dollars and exclude shipping, handling, taxes, duties, or other fees unless explicitly stated. Published prices are your net cost F.O.B Syosset, NY.

Minimum Order Quantity
Orders must be for a minimum of 1 yard, and in increments of 1 yard, unless otherwise specified for specific products.
Custom Orders
Custom orders, including special colors, patterns, or treatments, require written approval and are non-returnable and non-refunded unless defective; 5% overage from the quantity ordered is considered acceptable.
Price Quotes
Quotes are valid for 120 days unless otherwise stated. Prices are subject to change without notice due to market conditions or manufacturing costs.
Sample Orders
Samples are available upon request, subject to availability and applicable fees. Sample sizes may vary (typically 6”x8” to 12”x12”).
Cutting for Approval
A Cutting for Approval (CFA) can be provided upon request for color matching.
Order Confirmation
Upon order placement, you will receive confirmation detailing the products, quantities, pricing, and estimated delivery date. Review confirmations promptly and report discrepancies within 48 hours.

Payment Terms

Payment is required at the time of order unless a credit account is established. Credit terms are subject to approval upon review of documents provided. Overdue accounts may incur a finance charge of 1.5% per month (18% per annum) or the maximum rate permitted by law. Posh Textiles prefers ACH, but we accept payments via credit card (Visa, MasterCard, American Express), wire transfer, or check. All payments must be in U.S. dollars. Non-payment may result in order cancellation, suspension of future orders, or legal action to recover amounts owed.

Credit Approval
Credit accounts require completed application and approval by Posh Textiles' finance department. Initial approval may take up to 15-20 business days.
Taxes
We don't charge tax as our products are sold business to business and are a consumable in finished products.

Order Cancellations and Changes

Orders may be canceled or modified within 5 business days of placement without charge, subject to written approval from Posh Textiles. After this, cancellations or changes may incur a 35% restocking fee or be denied if production has begun. Custom orders cannot be canceled or modified once production starts. If your order has been cut and packed and is either ready for shipment or has left our premises, cancellation cannot be accepted.

Shipping and Delivery

Posh Textiles ships to addresses in the United States and select international destinations via common carriers (e.g., UPS, FedEx) or freight services for large orders. Shipping costs, including freight, insurance, and handling, are the Customer's responsibility unless otherwise agreed in writing.

Delivery Estimates: Delivery dates are estimates only and subject to change due to production schedules, carrier delays, or other factors. Posh Textiles is not liable for delays beyond our control. Posh Textiles ships all packages by FedEx unless specified. All freight, insurance, and duties are the responsibility of the customer unless stated in the sales order.

Rerouting of packages is subject to charges from the carrier. Please contact customer service as soon as possible to ensure proper rerouting of packages.

Risk of Loss
Title and risk of loss pass to the Customer upon transfer of products to the carrier at Posh Textiles' facility (FOB Origin).
Inspection
Customers must inspect products within 7 business days of delivery and report issues via email to [email protected]. Failure to report within this period waives claims for visible defects.
International Shipments
Customers are responsible for all customs duties, taxes, and clearance fees. Posh Textiles will provide necessary documentation but is not responsible for customs delays or rejections.

Returns and Claims

Posh Textiles accepts returns for defective products or order errors, subject to the following conditions:

Claims for defects (e.g., manufacturing flaws, incorrect products) must be reported within 7 business days of delivery. Provide order number, description, and photos of the issue. Posh Textiles will replace defective products or issue a refund/credit at our discretion.

Return Process
Obtain a Return Merchandise Authorization (RMA) number by contacting [email protected]. All claims for returns must be made within 14 days of receipt of goods and are subject to a 25% restocking fee. Unauthorized returns will be rejected. Returns will not be accepted unless the fabric is received on our premises within thirty (30) days from the date of written authorization. Products must be unused, in their original condition, and in original packaging. Shipping costs for returns are the Customer's responsibility. We cannot accept cancellations or return of orders for fabrics treated with any special finishes such as flame proofing, paper backing, acrylic backing, vinyl or stain repellant finishes or customs.
Note
Color variations due to dye lots or lighting conditions are not considered defects unless significantly different from the ordered product.
Custom orders, cut-to-order fabrics, or treated with special treatments are non-returnable unless defective. Customers have 7 days to inspect and contact customer service in case of any issues.
Sample Returns
Samples may be returned for reuse or repurpose when done, subject to approval. Contact Posh Textiles for a RMA and free return label. Please consolidate samples before shipping for environmental reasons.

Product Specifications and Use

Posh Textiles products are designed for residential, hospitality, and commercial applications, including upholstery, drapery, and wall coverings. Specifications such as color, texture, weight, and performance may vary slightly due to the nature of textile manufacturing.

Eco-Friendly Products
Certain products contain recycled materials or meet certifications such as Oeko-Tex Standard 100, GREENGUARD Gold, or LEED eligibility. Refer to product descriptions for details.
Care and Maintenance
Follow care instructions provided for each product. Improper cleaning or use may void warranties.
Flammability and Compliance
Products meet applicable flammability standards (e.g., NFPA 701, California Technical Bulletin 117). Customers are responsible for ensuring compliance with local regulations.
Application Suitability
Customers must verify that products are suitable for their intended use. Posh Textiles is not responsible for damage resulting from improper application.

Limitation of Liability

Posh Textiles' liability for any claim related to the sale or use of our products is limited to the purchase price of the product. Posh Textiles is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business opportunity, even if advised of such damages, to the fullest extent permitted by law.

Intellectual Property

All designs, patterns, trademarks, and content provided by Posh Textiles, including on our website, are the property of Posh Textiles or our licensors and are protected by intellectual property laws. Customers may not reproduce, distribute, or use our intellectual property without written permission, except for personal use in connection with purchased products.

Trade Accounts

Posh Textiles offers trade accounts to qualified interior design professionals, architects, and commercial buyers. Benefits include view pricing online, priority sampling, and access to additional features on www.poshtextiles.com.

Application
Submit a trade account application via our website or email [email protected]. Approval requires valid business credentials and may take up to 5 business days.
Terms
Trade account holders are subject to these Terms and any additional terms specified in the trade agreement.

Force Majeure

Posh Textiles is not liable for delays or failures to perform due to events beyond our reasonable control, including but not limited to natural disasters, labor disputes, supply chain disruptions, government actions, or equipment failures. We will notify Customers of such events and resume performance as soon as practicable.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Nassau County, New York. Both parties consent to the exclusive jurisdiction of these courts.

Dispute Notification
Customers must notify Posh Textiles in writing of any dispute within 30 days of the issue arising.
Legal Fees
The prevailing party in any legal action shall be entitled to recover reasonable attorney fees and costs.

Additional Disclaimers and Privacy Policy

Shrinkage During Finishing Treatment
Shrinkage may or may not occur during treatment. Please account for a 10% shrinkage during treatment for yardage under 10 yards and a 5-7% shrinkage for yardage over 10 yards.
Image Representation
Product images on our website and marketing materials may vary in appearance due to device settings, lighting, and digital rendering. Images showing fabric on furniture are computer-generated and are provided for visualization purposes only. We strongly recommend requesting physical samples and consulting with your furniture manufacturer prior to finalizing specifications or placing orders.
Dye Lots
While Posh Textiles strives to maintain commercially acceptable color consistency, dye lot variations may occur. If an exact match is required, please submit a cutting with your order or request a Cutting for Approval (CFA) from current production. Posh Textiles reserves the right to make technical adjustments to any product at any time without prior notice.
Fabric Identification and Responsibility
Posh Textiles takes great care in labeling all products; however, it is the customer's responsibility to confirm that the goods received match the purchase order and specified requirements. Posh Textiles is not liable for incorrect product identification, application, or installation. Customers are strongly advised to submit samples to their manufacturer or installer for verification prior to use. Labor charges or other costs arising from misidentification, improper application, or incorrect installation will not be covered by Posh Textiles.
Dye Transfer Disclaimer
Posh Textiles is not responsible for dye transfer resulting from external contaminants. Certain clothing dyes—such as indigo (commonly found in denim) and red pigments—may transfer to lighter fabrics. This transfer is irreversible and may be accelerated by heat and humidity.
